These Terms and Conditions (“Terms”) govern your access to and use of safewatch365.com and any webpages, forms, content, features, or online services that link to these Terms (collectively, the “Website”).
The Website is owned and operated by SafeWatch LLC (“SafeWatch,” “we,” “our,” or “us”).
By accessing or using the Website, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree with these Terms, please do not use the Website.
1. Purpose of the Website
The Website provides general information about SafeWatch, our patient observation and behavioral support services, employment and independent-contractor opportunities, and ways to contact our company.
Website content is provided for general informational and business-development purposes. The Website is not intended to provide medical advice, clinical assessment, diagnosis, treatment, emergency response, legal advice, or a substitute for professional healthcare services.
Accessing the Website, submitting an inquiry, or communicating with SafeWatch does not create a patient-provider relationship, client relationship, employment relationship, independent-contractor relationship, or contractual obligation.
2. Emergency and Crisis Situations
The SafeWatch Website is not an emergency-response system and must not be used to report a medical emergency, behavioral crisis, missing person, suspected abuse, immediate safety threat, or other urgent situation.
If you believe someone is experiencing a medical or life-threatening emergency, call 911 or contact the appropriate emergency-response provider immediately.
If you are inside a hospital, assisted living community, memory care program, skilled nursing facility, or other healthcare setting, immediately notify the nurse, administrator, security team, emergency-response personnel, or another authorized member of the facility’s staff.
Submitting a website form, voicemail, email, or text message does not guarantee that SafeWatch will receive or respond to the communication within any particular period.
3. Eligibility and Authority
You must be at least 18 years old to use the Website or submit personal information through it.
If you use the Website on behalf of a hospital, senior living community, healthcare provider, business, patient, resident, family member, guardian, or another person or organization, you represent that you have the authority necessary to provide the submitted information and make the requested communication.
You may not submit another person’s confidential, medical, financial, or identifying information unless you are legally authorized to do so.
4. No Medical Advice or Clinical Relationship
The information presented on the Website is not medical advice and should not be used to diagnose, treat, cure, manage, or prevent a medical, psychiatric, behavioral, or cognitive condition.
SafeWatch personnel do not provide medical services unless a particular service is expressly included in a written agreement and performed by an appropriately credentialed professional acting within the legally authorized scope of that credential.
Descriptions of patient observation, companionship, redirection, de-escalation support, fall-risk awareness, wandering awareness, or behavioral support are not representations that SafeWatch provides medical treatment or guarantees a particular clinical or safety outcome.
Always seek advice from an appropriately licensed healthcare professional regarding medical symptoms, medications, treatment decisions, changes in condition, mental health concerns, or clinical care.
5. Information About SafeWatch Services
SafeWatch provides specialized observation and support services that may include focused monitoring, companionship, behavioral observation, respectful redirection, communication of concerns, and support for established facility safety procedures.
The availability, scope, scheduling, location, qualifications, pricing, and terms of any service depend upon factors that may include:
- The needs of the contracting organization
- The needs and condition of the individual
- Staff availability
- Required credentials or training
- Facility policies and procedures
- Applicable licensing and regulatory requirements
- Geographic service coverage
- Completion of an assessment or intake process
- Execution of an approved written agreement
Information on the Website does not constitute a binding offer or guarantee that SafeWatch will accept an assignment, provide a particular professional, meet a requested start time, or provide services in every location.
SafeWatch may accept, decline, modify, suspend, or discontinue a requested service subject to applicable law and any binding written agreement.
6. No Guarantee of Outcomes
SafeWatch is committed to promoting attentive observation, person-centered support, and effective communication. However, no observation or support service can eliminate every risk.
SafeWatch does not guarantee that its services will prevent all falls, injuries, elopements, behavioral incidents, hospitalizations, emergencies, or other adverse events.
Statements describing the goals, purpose, or potential benefits of SafeWatch services should not be interpreted as promises of a specific result.
The responsibilities, performance standards, and remedies applicable to a particular engagement will be governed by the written agreement between SafeWatch and the contracting client.
7. Website Terms Versus Service Agreements
These Terms apply only to the use of the Website.
Actual services provided by SafeWatch will be governed by a separate written agreement, which may include provisions addressing:
- The scope of services
- Staffing and scheduling
- Rates and payment
- Cancellations
- Documentation
- Confidentiality
- Insurance
- Facility responsibilities
- Supervision and communication
- Risk allocation
- Dispute resolution
- Termination
- Compliance obligations
If these Website Terms conflict with an executed client, facility, employment, contractor, confidentiality, or business associate agreement, the executed agreement will control with respect to its subject matter.
8. Website Inquiries Do Not Create a Contract
Submitting a contact form, requesting a consultation, asking for pricing, sending an application, or communicating with a SafeWatch representative does not create a binding agreement.
A service relationship begins only after SafeWatch and the applicable client have completed any required review process and entered into an authorized written agreement.
An employment or contractor relationship begins only after SafeWatch issues and executes the required written documents and all applicable conditions have been satisfied.
No employee, representative, website statement, email, or informal communication may modify these requirements unless the modification is included in a written agreement signed by an authorized SafeWatch representative.
9. Privacy and Health Information
Your use of the Website is also governed by the SafeWatch Privacy Policy, which is incorporated into these Terms by reference.
Please do not submit medical records, Social Security numbers, financial account credentials, or detailed patient information through a general contact form or unsecured email.
Information submitted through a public website form is not automatically protected health information under HIPAA. Whether HIPAA applies depends on the type of information, the circumstances in which it is received, and the legal roles of the parties involved.
When SafeWatch receives, creates, maintains, or transmits protected health information in a capacity governed by HIPAA or another healthcare privacy law, the information will be managed according to applicable law and the relevant contractual arrangements.
10. Electronic Communications
By contacting SafeWatch electronically, you consent to receive responsive communications from us by email, telephone, or text message using the contact information you provide.
Electronic communications may not always be secure. Do not send sensitive medical, financial, employment, or identifying information through unsecured communication channels unless SafeWatch has instructed you that the method is appropriate.
If you consent to receive marketing text messages, message and data rates may apply. Consent to receive marketing messages is not a condition of purchasing services. You may opt out of nonessential text messages by replying STOP.
You are responsible for keeping your contact information accurate and for protecting access to your email account, telephone, and other communication devices.
11. Acceptable Use
You agree to use the Website only for lawful purposes.
You may not:
- Violate any applicable federal, state, local, or international law
- Submit false, misleading, fraudulent, defamatory, or unlawful information
- Impersonate another person or misrepresent your identity or authority
- Submit confidential information without authorization
- Attempt to gain unauthorized access to the Website, servers, systems, or data
- Interfere with the operation, availability, or security of the Website
- Introduce malware, viruses, malicious code, or other harmful material
- Use automated tools to scrape, copy, index, or extract Website content without written permission
- Circumvent security or access controls
- Use the Website to harass, threaten, exploit, or harm another person
- Use SafeWatch’s name, logo, content, or services for an unauthorized commercial purpose
- Collect information about other Website users
- Submit unsolicited advertisements, promotions, or bulk messages
- Use Website content to make false or misleading statements about SafeWatch
- Assist another person in engaging in prohibited conduct
SafeWatch may restrict or terminate access to the Website if we reasonably believe a user has violated these Terms or created a security, legal, operational, or reputational risk.
12. Employment and Contractor Opportunities
The Website may include descriptions of employment or independent-contractor opportunities. These descriptions are informational and may be changed or withdrawn at any time.
Submitting an application does not guarantee an interview, offer, engagement, assignment, minimum number of hours, rate of compensation, or continued relationship.
Candidates may be required to complete qualification, credential-verification, reference, background-screening, health-screening, training, orientation, and competency requirements as permitted by law.
Nothing on the Website creates an employment contract or alters the terms of an at-will employment relationship where permitted by law.
Independent-contractor status, if applicable, will be governed by a separate written agreement and applicable law. Labeling a position as an independent-contractor opportunity on the Website does not independently determine its legal classification.
13. Intellectual Property
Unless otherwise indicated, the Website and its content—including the SafeWatch name, logo, slogan, graphics, photographs, text, videos, designs, layouts, training descriptions, downloadable materials, and other content—are owned by or licensed to SafeWatch and are protected by applicable intellectual-property laws.
SafeWatch grants you a limited, revocable, nonexclusive, nontransferable license to access and use the Website for lawful personal or internal business purposes.
You may not copy, reproduce, modify, distribute, publish, display, sell, license, create derivative works from, or commercially exploit Website content without prior written permission from SafeWatch, except as permitted by law.
“SafeWatch” and “Keeping Patients Safe. Supporting Staff. Protecting Communities.” may be trademarks or service marks of SafeWatch. No right to use these marks is granted except with prior written authorization.
14. User Submissions and Feedback
If you submit a question, comment, suggestion, testimonial, review, idea, or other material, you represent that:
- The submission is accurate to the best of your knowledge
- You have the right to provide it
- It does not violate another person’s privacy, confidentiality, intellectual-property, or contractual rights
- It is not unlawful, threatening, defamatory, discriminatory, obscene, or misleading
- It does not contain unauthorized patient or facility information
You retain ownership of content you submit. However, you grant SafeWatch a nonexclusive right to use the submission as reasonably necessary to respond to you, evaluate a request, operate our business, comply with legal obligations, or provide requested services.
SafeWatch will not publicly use an identifiable patient story, photograph, testimonial, or protected health information for marketing merely because it was submitted through the Website. Any such marketing use will require whatever authorization or consent is legally and contractually required.
Unsolicited business ideas or suggestions are not submitted in confidence unless SafeWatch has agreed otherwise in writing.
15. Testimonials and Illustrative Content
Testimonials, case examples, scenarios, photographs, and descriptions appearing on the Website may illustrate individual experiences or general service situations.
They do not guarantee that another client, facility, patient, resident, employee, or contractor will experience the same outcome.
SafeWatch will obtain appropriate permission before publishing an identifiable testimonial or image when required. Some images may be stock photography or staged representations and may not depict actual clients, patients, residents, or personnel.
16. Third-Party Websites and Services
The Website may contain links to third-party websites, social media platforms, recruiting services, payment processors, scheduling tools, maps, training platforms, or other resources.
Links are provided for convenience and do not necessarily constitute SafeWatch’s endorsement of the third party or its products, services, security practices, or content.
SafeWatch does not control and is not responsible for third-party services. Your use of a third-party service is governed by that party’s terms and privacy practices.
17. Website Availability and Changes
SafeWatch may modify, update, suspend, restrict, or discontinue any part of the Website at any time.
We do not guarantee that the Website will always be available, uninterrupted, accurate, complete, secure, or free from technical problems.
Website content may contain typographical errors, outdated information, or inadvertent omissions. SafeWatch may correct or update content without prior notice but is not obligated to update every item immediately.
You are responsible for using appropriate security protections when accessing the internet and downloading materials.
18. Disclaimer of Warranties
TO THE FULLEST EXTENT PERMITTED BY LAW, THE WEBSITE AND ITS CONTENT ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.
SAFEWATCH DISCLAIMS ALL WARRANTIES REGARDING THE WEBSITE, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, AND SECURITY.
SAFEWATCH DOES NOT WARRANT THAT:
- THE WEBSITE WILL BE UNINTERRUPTED OR ERROR-FREE
- WEBSITE CONTENT WILL ALWAYS BE COMPLETE OR CURRENT
- THE WEBSITE WILL BE FREE FROM VIRUSES OR HARMFUL COMPONENTS
- INFORMATION SUBMITTED ELECTRONICALLY WILL NEVER BE INTERCEPTED
- USING THE WEBSITE WILL PRODUCE A PARTICULAR RESULT
- A SERVICE REQUEST OR APPLICATION WILL BE ACCEPTED
Some jurisdictions do not allow certain warranty exclusions. In those jurisdictions, exclusions apply only to the extent legally permitted.
19. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, SAFEWATCH AND ITS OWNERS, OFFICERS, EMPLOYEES, REPRESENTATIVES, CONTRACTORS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO:
- ACCESS TO OR USE OF THE WEBSITE
- INABILITY TO ACCESS OR USE THE WEBSITE
- RELIANCE ON WEBSITE CONTENT
- UNAUTHORIZED ACCESS TO ELECTRONIC COMMUNICATIONS
- THIRD-PARTY WEBSITES OR SERVICES
- INTERRUPTION, ERROR, LOSS OF DATA, OR MALICIOUS CODE
- AN INQUIRY, APPLICATION, OR OTHER WEBSITE SUBMISSION
To the fullest extent permitted by law, SafeWatch’s aggregate liability arising solely from use of the public Website will not exceed the greater of the amount you paid SafeWatch specifically for Website access during the preceding six months or $100.
This limitation applies only to claims associated with the public Website. Liability arising from contracted services will be governed by the applicable written service agreement and controlling law.
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.
20. Indemnification
To the extent permitted by law, you agree to defend, indemnify, and hold harmless SafeWatch and its owners, officers, employees, representatives, contractors, licensors, and service providers from claims, damages, losses, liabilities, costs, and expenses—including reasonable attorneys’ fees—arising from:
- Your unlawful or unauthorized use of the Website
- Your violation of these Terms
- Information or materials you submit
- Your infringement of another person’s rights
- Your misrepresentation of your identity or authority
- Your submission of confidential information without authorization
SafeWatch reserves the right to control the defense of a matter subject to indemnification, and you agree to provide reasonable cooperation.
21. Governing Law and Venue
These Terms are governed by the laws of the Commonwealth of Virginia, without regard to conflict-of-law principles.
Unless an applicable written agreement provides otherwise, any legal proceeding arising solely from use of the Website must be brought in a state or federal court with lawful jurisdiction in Richmond, Virginia, and you consent to the jurisdiction and venue of those courts.
Nothing in this section prevents SafeWatch from seeking emergency or injunctive relief in another court of competent jurisdiction when reasonably necessary to protect its rights, systems, confidential information, or intellectual property.
22. Informal Dispute Resolution
Before filing a legal claim relating solely to the Website, you and SafeWatch agree to make a good-faith effort to resolve the dispute informally.
A written notice should describe the issue, relevant facts, requested resolution, and contact information. Notices to SafeWatch should be sent to the address or email listed below with the subject line “Website Dispute Notice.”
This provision does not prevent either party from seeking urgent relief, reporting concerns to a governmental authority, or exercising rights that cannot legally be waived.
23. Severability
If a provision of these Terms is determined to be unlawful, invalid, or unenforceable, that provision will be enforced to the greatest extent permitted or severed if necessary.
The remaining provisions will remain in effect.
24. No Waiver
SafeWatch’s failure to enforce a provision of these Terms does not waive our right to enforce that provision or another provision later.
A waiver is effective only if it is in writing and signed by an authorized SafeWatch representative.
25. Assignment
You may not assign or transfer your rights or obligations under these Terms without SafeWatch’s prior written consent.
SafeWatch may assign its rights and obligations in connection with a merger, acquisition, restructuring, sale of assets, change in control, or transfer of Website operations, subject to applicable law.
26. Entire Agreement
These Terms and the SafeWatch Privacy Policy constitute the entire agreement between you and SafeWatch concerning use of the public Website.
They do not replace or modify a separately executed service, employment, contractor, confidentiality, or business associate agreement.
27. Changes to These Terms
SafeWatch may revise these Terms to reflect changes in our Website, services, business practices, technologies, or legal obligations.
Revised Terms will be posted on this page with an updated “Last Updated” date. When legally required, we may provide additional notice of material changes.
Your continued use of the Website after revised Terms become effective constitutes acceptance of the updated Terms to the extent permitted by law.
